Terms of Use

These Terms of Use ("Terms") govern your use of CleverEar ("the App"), a macOS application developed by CleverEar ("we", "us", "our"). By downloading, installing, or using the App, you agree to these Terms.

1. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App on macOS devices that you own or control, subject to these Terms and any applicable App Store terms.

2. Requirements

To use the App's core features, you need:

• A Mac running macOS 13 (Ventura) or later
• An OpenAI API key with access to the Whisper and GPT-4o APIs
• An active internet connection for API calls

You are responsible for obtaining and maintaining your OpenAI API key and for all costs associated with OpenAI API usage. CleverEar does not charge for the App itself; all API costs are between you and OpenAI.

3. Your Content

You retain all rights to audio you record, import, or process through the App. We do not access, collect, or claim any rights to your content. All audio, transcripts, summaries, and other outputs are stored locally on your device.

You are responsible for ensuring you have the right to record any audio captured through the App. Many jurisdictions require consent from all parties being recorded. It is your responsibility to comply with all applicable laws regarding audio recording.

4. Third-Party Services

The App connects to OpenAI's API to provide transcription and summarization. Your use of OpenAI's services through the App is subject to:

• OpenAI Privacy Policy
• OpenAI Usage Policies

We are not responsible for OpenAI's services, including their availability, accuracy, data handling, or any changes to their API or pricing.

5. Acceptable Use

You agree not to:

• Use the App to record audio without proper consent or in violation of applicable laws
• Use the App to process content that violates OpenAI's usage policies
• Reverse engineer, decompile, or disassemble the App
• Redistribute, sublicense, or resell the App
• Use the App for any illegal purpose

6. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• The App will be error-free or uninterrupted
• Transcriptions or summaries will be accurate or complete
• The App will be compatible with future versions of macOS or the OpenAI API

AI-generated transcriptions and summaries may contain errors. You should review all output before relying on it for important decisions.

7. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or in connection with your use of the App.

Our total liability for any claim arising from these Terms or your use of the App shall not exceed the amount you paid for the App (if any).

8. Termination

These Terms are effective until terminated. Your rights under these Terms will terminate automatically if you fail to comply with any of the Terms. Upon termination, you should cease all use of the App and delete it from your devices.

9. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the App after changes constitutes acceptance of the updated Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which we operate, without regard to conflict of law principles.
